Ernest is the Head of International Practice and coordinates various international projects of the LawBridge Association (lawbridge.law), and also provides client support in Cyprus, Germany, Great Britain and other countries. Ernest has over 20 years of experience in advising Russian and international companies. He has worked for over 15 years at leading international law firms in Germany and Moscow.

Ernest coordinates various international projects and advises international and Russian companies on general corporate law, complex international transactions (M&A), intellectual property and private equity.

Ernest's expertise includes, among others, following areas of activity: 

  • joint venture agreements, shareholder agreements, corporate governance, restructuring;
  • advising on structuring of various cross-border transactions, comprehensive support for their implementation;
  • Due Diligence of large companies, including due diligence of sales departments and production assets;
  • transactions for acquisition and disposal of shares/stakes, incl. with participation of foreign companies and structures, including structuring and financing of such transactions;
  • advising commercial and non-commercial organizations on various issues of their activities, including international companies with divisions in Russia;
  • analysis and development of cross-border and local contracts governing purchases and sales in retail chains, as well as various other contracts necessary for implementation of clients' activities;
  • development and implementation of compliance systems in groups of companies, performing functions of external ombudsman.

Projects
BANK OF CYPRUS
The Bank of Cyprus filed a claim for foreclosure of immovable property of a Russian company, pledged to secure the repayment of a loan issued to a company registered in Cyprus. The value of the disputed assets was estimated at about 18 million US dollars. The case was complicated by the circumstances of the financial crisis which broke out in Cyprus in March 2013, and by the cession by one of the bank's Russian clients to the borrower of his claims against the bank under the bank deposit agreement, and the involvement in the relationship between the bank and the assignor of a trustee with whom the assignor had signed a trust agreement governed by the British Virgin Islands trust law. The bank was trying to prove that the assignment was made by an unauthorized person, it could not have been made, as by the anti-crisis legislation of Cyprus in March-April 2013 most of the clients' money deposited in the accounts had been converted into bank shares.
